1. NO PURCHASE, PAYMENT, ENTRY FEE OF ANY KIND NECESSARY. A COMPLETED SURVEY IS NECESSARY TO ENTER AND WIN A PRIZE. A PURCHASE, PAYMENT OR ENTRY FEE OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING A PRIZE.

2. ELIGIBILITY: The “Bonchon Tournament Influencer Campaign” Sweepstakes (the “Sweepstakes”) is open only to legal residents of the following twenty-five (25) States/District within the United States where there are Bonchon restaurant locations: Arizona (AZ), California (CA), Colorado (CO), Connecticut (CT), Delaware (DE), Florida (FL), Georgia (GA), Illinois (IL), Maryland (MD), Massachusetts (MA), Michigan (MI), Minnesota (MN), Nevada (NV), New Hampshire (NH), New Jersey (NJ), New York (NY), North Carolina (NC), Ohio (OH), Oregon (OR), Pennsylvania (PA), Tennessee (TN), Texas (TX), Virginia (VA), Washington (WA) and District of Columbia (DC) (“Restaurant Locations”); who are eighteen (18) years of age or older at the time of entry (“Eligible Participant” or “Entrant”). Void in all other States not listed above and wherever else prohibited by law. Directors, officers, employees, agents, vendors, suppliers, service providers, and independent contractors of Bonchon Franchise, LLC (“Sponsor”), Marden-Kane, Inc., (“Administrator”), Augustine, Wasserman, The Luupe, MMG, their respective subsidiaries, advertising/promotion agencies, each of their respective officers and the immediate family members and relatives, respective spouses and all others associated with the design, execution, production, development, and distribution of this Sweepstakes or connected to this Sweepstakes in any way, are not eligible to enter. For the purposes of the Sweepstakes, “immediate family members” is a spouse, domestic partner, parent, IRS dependent, grandparent, child or children, siblings and their respective spouses and persons living in the same household (whether related or not). The Sweepstakes is subject to all federal, state and local laws. U.S. law governs the Sweepstakes.

3. SWEEPSTAKES TIMING/DESCRIPTION/PRIZE OFFERING: The Sweepstakes begins at 12:00:00 AM Central Time (“CT”) on March 27, 2024 and ends at 11:59:59 PM CT on April 30, 2024 (the “Sweepstakes Entry Period”). Sponsor’s computer will be the official timekeeping device for this Sweepstakes. Eligible Participants must submit a completed survey during the Sweepstakes Entry Period in order to receive one (1) entry in the Sweepstakes. A total of four (4) Grand Prizes and one hundred (100) First Prizes will be awarded in a random drawing from among all eligible entries received during the Sweepstakes Entry Period (See Paragraph 6 below).

4. HOW TO ENTER: There is only one (1) way to enter the Sweepstakes: Eligible Participants must submit answers to a survey by accessing following website URL [HTTPS://BONCHON.COM/ENTER].

(A) Answer Survey via Website URL link for Online Entry Method: Eligible Participants will be invited to answer survey questions by accessing a website URL link [HTTPS://BONCHON.COM/ENTER] during the Sweepstakes Entry Period. Once an Eligible Participant completes the survey, the Eligible Participant will be instructed to submit the completed survey in order to receive one (1) entry in the Sweepstakes. Eligible Participant must provide all of the information, and complete all of the survey submission steps, as well as following the submission guidelines, required by the survey tool. Eligible Participants may submit only one (1) completed survey during the Sweepstakes Entry Period. All survey submissions must be received by 11:59:59 PM CT on April 30, 2024 in order to be eligible. Any completed surveys submitted in any manner other than noted above are not eligible for a Sweepstakes entry, are and will be disqualified.

LIMITED TO ONE (1) ENTRY PER ELIGIBLE PARTICPANT FOR THE ENTIRE SWEEPSTAKES

(B) Release of Sponsor and Administrator: No responsibility is assumed by "Releasees", as defined below, and Eligible Participants waive all claims, for lost, late, illegible, incomplete, damaged, postage due or misdirected surveys or mailed entries, which will be void, or for any problems or technical malfunction of any telephone network or lines, computer equipment, software, failure of any email service or any combination thereof including without limitation any damage to Eligible Participant’s or any other person's computer, tablet, smart phone resulting from completion of the survey or participation in this Sweepstakes. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor or Administrator. Entries generated by script, macro or other automated means are null and void. All surveys and other entries become the property of Sponsor and Administrator and may not be acknowledged or returned.

(C) Grant of Rights: By entering this Sweepstakes, each Eligible Participant agrees to grant Sponsor, its agents, subsidiaries and affiliates a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, database rights and any and all other rights Eligible Participant has in the survey answers (and any part thereof), in any media now known or hereafter devised (including without limitation, the internet), without additional compensation. Further, Eligible Participant grants Sponsor the additional license to modify, adapt, translate, create derivative works from, and distribute the survey answers or incorporate such materials into any form, medium or technology, including the right, at Sponsor’s sole discretion, to distribute and/or publish the survey answers (or any part thereof). Entries submitted that are generated by script, macro or other automated or mechanical means or means which subvert the entry process will be and are null and void.

(D) Miscellaneous: Incomplete survey entries or entries not complying with these Official Rules are subject to disqualification. Sponsor or Administrator’s decisions are final on all matters relating to this Sweepstakes. Use of the Site, Sponsor’s Site, and Sponsor’s use of information submitted by Eligible Participants in connection with this Sweepstakes will be subject to the terms and conditions stated in these Official Rules as well as the Site’s and Sponsor’s Site Terms and Policy. If a dispute results as to the identity of an Eligible Participant, it will be determined that the online entry was submitted by the authorized account holder of the email address from which the entry is made. For these purposes, the authorized account holder is the natural person assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses or the domain associated with the submitted email address. Normal internet access, phone, and usage charges imposed by your online or phone service carrier may apply. If you are entering via a mobile device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply.

ELIGIBLE PARTICIPANTS SUBMITTING SURVEY ANSWERS AS IT RELATES TO THIS SWEEPSTAKES ARE NOT BEING COMPENSATED NOR ARE RECEIVING ANY FREE PRODUCT TO SUBMIT A COMPLETED SURVEY. ELIGIBLE PARTICIPANTS ARE, HOWEVER, RECEIVING ONE (1) ENTRY IN THE SWEEPSTAKES FOR THE COMPLETED SURVEY EACH SUBMITS.

5. DETERMINATION OF GRAND AND FIRST PRIZE WINNERS: Four (4) potential Grand Prize and one hundred (100) potential First Prize winners will be selected in a random drawing on or about May 13, 2024 from among all eligible entries received. The random drawing will be conducted by Administrator whose decisions are final on matters relating to this Sweepstakes. The potential Grand Prize and First Prize winners will be notified by E-mail on or about May 15, 2024. The potential Grand Prize and First Prize winners will be required to correct any errors listed in their names/mailing addresses/email addresses, sign and return a Prize Acceptance Form, within five (5) days of issuance of notification. Non-compliance within this time frame or with the Official Rules, or if notification is returned as undeliverable, will result in the potential winner being disqualified, and the prize will be awarded to a potential alternate winner. Only two (2) sets of alternate winners will be selected for each of the one hundred and four (104) total prizes after which the prize shall remain unawarded. Allow three to four (3-4) weeks for delivery of prize. Odds of winning depend upon the number of eligible entries received. The Sweepstakes is in compliance with all applicable anti-corruption laws and regulations.

6. PRIZES AVAILABLE TO BE AWARDED:
Four (4) Grand Prizes:
• Four (4) winners will each receive a basketball autographed by both college basketball players Seth Trimble of University of North Carolina and by Mark Mitchell of Duke University, Approximate Retail Value (ARV): $50 each prize.

One hundred (100) First Prizes total:
• Fifty (50) winners will each receive a Bonchon® branded "Spicy" t-shirt advertised by Mark Mitchell in various media, ARV: $25 each prize.
• Fifty (50) winners will each receive a Bonchon® branded "Soy Garlic" t-shirts advertised by Seth Trimble in various media, ARV: $25 each prize.

TOTAL ARV OF ALL GRAND PRIZES AND FIRST PRIZES AVAILABLE TO BE AWARDED IS $2,700.

Prizes are not transferable. The winners shall bear all risk of loss of prize, of prize being stolen, being used without permission or of being damaged after receipt, nor will prizes be replaced for any reason.

7. ADDITIONAL PRIZE DISCLOSURES: Any costs not specifically stated within these Official Rules are the sole responsibility of the winner. Prizes may not be transferred or substituted, except at the Sponsor or Administrator’s sole discretion. Sponsor or Administrator reserve the right to substitute a prize of equal or greater value. All claimed prizes shall be awarded. No more than the stated number of prizes for each prize level will be awarded for this Sweepstakes. In the event that production, programming, human error or any other reasons cause more than the stated number of four (4) Grand Prizes and one hundred (100) First Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of Prizes by a random drawing among all legitimate, unawarded, eligible prize claims. SPONSOR RESERVES THE RIGHT TO CANCEL, SUSPEND AND/OR MODIFY THIS SWEEPSTAKES IF ANY FRAUD, TECHNICAL FAILURES, HUMAN ERROR, OR ANY OTHER FACTOR IMPAIRS THE INTEGRITY OR PROPER PERFORMANCE OF THE SWEEPSTAKES, AS DETERMINED BY SPONSOR IN ITS SOLE DISCRETION.

8. CONDITIONS OF PARTICIPATION: By entering, Eligible Participants agree to be bound by these Official Rules including all eligibility requirements. The Sponsor will collect personal information from each Eligible Participant and provide it to the Administrator solely for the purpose of administering the Sweepstakes and to notify each potential winner. The Sponsor will not share, sell or otherwise disclose this information with any third parties, except with the Administrator, as necessary for the administration of the Sweepstakes. Sponsor’s use of information submitted by Eligible Participants in connection with this Sweepstakes will be subject to the terms and conditions stated in these Official Rules as well as to the Sponsor’s Privacy Policy available at the URL https://bonchon.com/policies/p...]. All materials submitted in connection with the Sweepstakes become the property of Sponsor and will not be returned. By accepting a prize, each winner consents to the use of their name, image, likeness, photograph, voice and biographical material and entry submission for advertising, publicity and promotional purposes by Sponsor in any and all media now or hereafter known including but not limited to, any online announcements, or for sharing this information with the press for viewing, whether TV or print, throughout the world in perpetuity, without additional compensation, notification or permission, except where prohibited by law. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any promotional materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Eligible Participants agree to abide by the terms of these Official Rules and the decisions of the judges, Sponsor, and Administrator, which are final, and waive any right to claim ambiguity in these Official Rules. Eligible Participants agree that any and all disputes shall be governed by the laws of the State of Texas without regard to its conflict of laws provisions.

9. DISCLAIMER OF LIABILITY AND INDEMNITY: ELIGIBLE PARTICIPANTS HEREBY AGREE TO RELEASE, INDEMNIFY AND HOLD HARMLESS SPONSOR, ITS EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, REPRESENTATIVES AND SHAREHOLDERS, RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, DIVISIONS, ADVERTISING AND PROMOTION AGENCIES AND THEIR RESPECTIVE PARENT COMPANIES, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, REPRESENTATIVES AND SHAREHOLDERS AND PARTICIPATING FRANCHISEES (COLLECTIVELY, THE “RELEASEES”) FROM ANY AND ALL CLAIMS, ACTIONS, INJURY, LOSS OR DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY OR DEATH, RESULTING FROM PARTICIPATING IN THE SWEEPSTAKES OR FROM THE ACCEPTANCE, POSSESSION, OR USE OR MISUSE OF ANY PRIZE AWARDED OR PARTICIPATION IN ANY PRIZE-RELATED ACTIVITY. THIS LIMITATION OF LIABILITY IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES; LOSS OF DATA, INCOME, OR PROFIT; LOSS OR DAMAGE TO PROPERTY; AND CLAIMS OF THIRD PARTIES. ELIGIBLE PARTICIPANTS AGREE THAT RELEASEES HAVE NOT MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION, OR GUARANTEE, STATUTORY, EXPRESS OR IMPLIED (INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, AND FITNESS FOR A PARTICULAR PURPOSE), IN FACT OR IN LAW, RELATIVE TO THE SWEEPSTAKES OR THE PRIZES AWARDED. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, RELEASEES DO NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO ANY PROMOTIONAL WEB SITE AND RELEASEES SHALL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS RELATED THERETO. Releasees are not responsible for lost, late, incomplete, illegible, inaccurate, delayed, garbled, damaged, stolen or misdirected submissions, or problems of any kind, whether mechanical, human or electronic. Releasees are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, inability to access a website, inability to submit an entry, or fraud, incomplete, garbled, or delayed computer transmissions or inaccurate transcription of entry information, whether caused by Sponsor, users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit an Eligible Participant’s ability to participate in the Sweepstakes. Entry materials that have been tampered with or altered are null and void. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, time of war, national emergency, accident, dangerous weather conditions, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism, health crisis such as a pandemic or epidemic or other matters beyond the Sponsor's reasonable control (each a “Force Majeure” event), or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness, integrity or proper play, or submission of entries, or should the Sweepstakes be unable to run as planned for any other reason, as described in these Official Rules, Sponsor reserves the right at its sole discretion to modify or terminate the Sweepstakes and, at its discretion, select the potential winners in a random drawing from among all eligible, non-suspect entries received prior to action taken. CAUTION: ANY ATTEMPT BY AN ELIGIBLE PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR ANY ONLINE SERVICE RELATED TO THE SWEEPSTAKES OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES AND COSTS) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of such term or any other provision. Sponsor reserves the right to disqualify any Eligible Participant who violates the rules or interferes with the Sweepstakes in any manner. If an Eligible Participant is disqualified, Sponsor reserves the right to terminate such Eligible Participant’s eligibility to participate in the Sweepstakes. Any attempt by an individual to access any website associated with the Sweepstakes via a bot script or other brute force attack or any other unauthorized means will result in that individual’s IP address becoming ineligible. Use of automated entry devices or programs is strictly prohibited.

10. SEVERABILITY: If any term or provision of these Official Rules is found under the law to be invalid or unenforceable, then such specific term or provision shall be of no force and effect and shall be severed, and the remainder of these Official Rules shall continue in full force and effect.

11. PRIVACY & PERSONAL INFORMATION: During the Sweepstakes Entry Period, entrant will also have the opportunity to opt-in to receive further email communications from the Sponsor. Entrants are not required to opt-in for this service in order to participate in this Sweepstakes and opting-in will not increase your chances of winning. If an Entrant chooses to opt-in, the Entrant thereby grants the Sponsor permission to send him/her future communications regarding services, incentives, offers, promotions, or other messaging related to the Sponsor’s services and products, from which Entrant can unsubscribe from at any time.

12. CHOICE OF LAW/JURISDICTION AND DISPUTE RESOLUTION: This Sweepstakes is offered only in the following States/District: AZ, CA, CO, CT, DE, FL, GA, IL, MD, MA, MI, MN, NV, NH, NJ, NY, NC, OH, OR, PA, TN, TX, VA, WA and District of Columbia and is governed and construed in accordance with the laws of the State of Texas, without giving effect to the conflict of laws rules thereof.

13. BINDING ARBITRATION, NO CLASS ACTION: PLEASE READ THIS SECTION CAREFULLY. By entering, Eligible Participants irrevocably consent to the dispute resolution procedures stated below as well as to the sole and exclusive jurisdiction of the courts of the State of Texas located in the county of Dallas for any action, suit or proceeding arising out of or relating to this Sweepstakes.

(A) Any dispute or claim between an Eligible Participant, on the one hand, and Sponsor or Administrator, subsidiaries, affiliates, agents, employees, and assigns, on the other hand (“Claims”) will be resolved exclusively by binding arbitration, rather than in court. There is no judge or jury in arbitration, and court review of an arbitration award is limited. Further, each Eligible Participant will not have the right to participate as a representative or a member of a class of claimants. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages).

(B) Claims include, without limitation, (1) Claims related to or arising out of any aspect of any relationship between Eligible Participant and Sponsor or Administrator and (2) Claims relating to the construction, scope, applicability, or enforceability of this arbitration agreement. The term "Claim" has the broadest possible meaning and includes disputes based on contract, tort, consumer rights, fraud or other intentional torts, statutes, regulations, common law, or equity. Notwithstanding the foregoing, “Claim” does not include an action solely to enjoin infringement or other misuse of intellectual property rights, which may be filed in court.

(C) Eligible Participant, Sponsor, and Administrator agree to provide written notice of any Claim and attempt in good faith to resolve the dispute before beginning an arbitration proceeding. Notice to Sponsor shall be sent to: Bonchon Franchise, LLC, 15660 N. Dallas Parkway, Suite 1150, Dallas, TX 75248. Notice to Administrator shall be sent to the address in Section 14. If the dispute cannot be resolved within thirty (30) days of providing written notice, any party may initiate an arbitration.

(D) The arbitration will be administered as set forth in the Terms.

(E) No class action, private attorney general, or other representative claims may be pursued in arbitration. Unless agreed in writing, Claims of two or more people cannot be joined or consolidated in the same arbitration.

(F) To the extent permitted by law, the existence of the arbitration, the arbitration proceedings, and the outcome of the arbitration will be treated as confidential and will not be disclosed by any of the parties.

(G) An arbitration award is limited to actual damages. The arbitration award shall not include statutory damages, disgorgement of profits, lost profits, consequential damages, or punitive damages. The parties will equally split the arbitrator’s fees and expenses, and each party shall pay its costs and attorney’s fees.

(H)These Official Rules and any arbitration proceedings are governed by Texas law consistent with the Federal Arbitration Act. Any Claim or other dispute between the parties will be governed by these Official Rules and the laws of the state of Texas and applicable United States law, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction.

14. WHO WON: To receive the name of the Grand Prize and First Prize winners, send a self-addressed, stamped envelope by May 31, 2024, to Bonchon “Tournament Influencer Campaign” Sweepstakes Winners, C/O Bonchon Franchise LLC, 15660 N. Dallas Pkwy, Suite 1150, Dallas, TX 75248. All communications with respect to this Sweepstakes, including requests to be removed from future mailings, should be directed to the Sponsor at the address listed below.
